This Agreement contains the terms and conditions upon which you (“you,” or “the user”) may access and use the valuable information and services available through the Site, which is controlled, maintained, owned and operated by Global-Mpg

By using this Site, you are agreeing to be contractually bound by the terms and conditions of the Agreement as they are stated at the time of your use of the Site.  By accessing and using the Site, you represent and warrant that you are of the age of majority under applicable law.

This Material belongs to or is licensed to GLOBAL-MPG You are granted a non-exclusive, non-assignable and non-transferable license to use the Site only in accordance with this Agreement.  This license is not a sale of any of Premier’s rights. Permission to reprint or electronically reproduce any document or graphic in whole or in part for any other purpose is expressly prohibited, unless prior written consent is obtained from the respective copyright holder(s). You may contact us at the address indicated at the end of this Agreement. In any event, you agree not to modify, amend, reduce the size of or in any way obliterate any warnings, liability limitations, disclosures or notices (including any copyright or trademark notice) associated with the information. You may not sell or modify the Material or reproduce, display, publicly perform, distribute or otherwise use the Material in any way for any public or commercial purpose. The use of the Material on any other web site or in a networked computer environment for any purpose is prohibited. You may not copy or adapt the HTML code that GLOBAL-MPG creates to generate the pages of the Site, which code is also protected by Global-Mpg copyright. If you violate any of the terms of this Agreement, your permission to use the Material automatically terminates and you must immediately destroy any copies you have made of the Material.

INTERNATIONAL USE OF THE SITE

GLOBAL-MPG makes no representation that the Site (including Material provided on or available through the Site) is appropriate for or available to locations outside the United States of America.  Use of the Site from territories where it is illegal to do so is prohibited.  Use of the Site outside of the United States of America is at your own risk, and you are solely responsible for compliance with all local laws and regulations, including restrictions and controls on the importation of computer software or data, as well as all export control laws and regulations of the United States of America.

SITE SECURITY RULES

You are prohibited from violating or attempting to violate the security of the Site, including, without limitation: (i) accessing or attempting to access data not intended for your use or logging into an account that you are not authorized to access; (ii) attempting to probe, scan or test the vulnerability of the Site or its network; or (iii) transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of the Site.  GLOBAL-MPG may investigate occurrences that it believes involve such violations and involve and cooperate with law enforcement authorities in prosecuting users of the Site who are involved in such violations.

In the event that you inadvertently obtain access to information belonging to or intended for a third party through the Site, you agree: (i) not to produce a physical copy of such information, (ii) to disregard such information and (iii) to immediately inform GLOBAL-MPG of such inadvertent access, including all of the circumstances leading to and surrounding such access and any dissemination of such third party information beyond the Site and all steps taken by you or on your behalf to prevent the further dissemination of such third party information.

INDEMNITY

You agree to indemnify, defend and hold harmless GLOBAL-MPG, its officers, directors, employees, and agents, and its subsidiaries from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, arising out of or relating to any violation of this Agreement or any activity related to use of the Site (including but not limited to infringement of third parties’ worldwide intellectual property rights or negligent or wrongful conduct) by you or any other person accessing the Site on your behalf.

WAIVER, RELEASE AND LIMITATION OF LIABILITY

You agree that neither GLOBAL-MPG, nor its officers, directors, employees, or agents shall have any liability to you under any theory or liability or indemnity arising out of or relating to use of the Site. You hereby release and forever waive any and all claims you may have against GLOBAL-MPG, its officers, directors, employees, and agents (including but not limited to claims based upon the negligence of GLOBAL-MPG, its officers, directors, employees, or agents) for losses or damages you sustain arising out of or relating to use of the Site.

DISCLAIMER OF LIABILITY FOR SERVICE INTERRUPTION

Neither GLOBAL-MPG, nor any of its affiliates, directors, officers, employees, agents, or any provider or third-party vendor will be liable or have any responsibility of any kind for any loss or damage that you incur in the event of any failure or interruption of the Site, or resulting from the act or omission of any other party involved in making the Site or the Material contained therein available to you, or from any other cause relating to your access to or your inability to access the Site or Material, whether or not the circumstances giving rise to such cause may have been within the control of GLOBAL-MPG or of any vendor providing software or services support.

RIGHT TO CHANGE OR DISCONTINUE THE SITE

GLOBAL-MPG may change, suspend, or discontinue all or any portion or aspect of the Site at any time without notice, including the availability of any feature, database, content or other Material contained on or accessed through the Site.  GLOBAL-MPG may also impose limits on any feature to any or all parts of the Site without notice or liability.

MISCELLANEOUS

a. You agree that no joint venture, partnership, employment, or agency relationship exists between GLOBAL-MPG and you as a result of this Agreement or your use of the Site.

b. Any cause of action or claim you may have with respect to GLOBAL-MPG must be commenced within one (1) year after the claim or cause of action arises.

c. Global-Mpg failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right.

d. GLOBAL-MPG may assign its rights and duties under this Agreement to any party at any time without notice to you.

GOVERNING LAW AND FORUM

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina without regard to its provisions relating to conflicts of law. You agree that any legal action or proceeding between GLOBAL-MPG and you for any purpose concerning this Agreement or the parties’ obligations hereunder shall be brought exclusively in a court of competent jurisdiction sitting in Jefferson County, Pine Bluff Arkansas, United States of America. In light of the nature of this Agreement, you understand and agree that money damages may be insufficient to rectify breach and that, consequently, GLOBAL-MPG will be entitled to seek preliminary and equitable relief upon a breach of the Agreement by you.

ENTIRE AGREEMENT

This Agreement comprises the full and final understanding between you and GLOBAL-MPG and merges and supersedes any and all other agreements, understandings or representations, written or oral, with respect to the subject matter hereof. The Agreement may not be modified except by a writing (in paper or electronic form) signed by you and by an authorized representative of GLOBAL-MPG, and referring specifically to this Agreement. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement.

SEVERABILITY

The provisions of this Agreement are severable, and in the event any provision hereof is determined to be invalid or unenforceable for any reason, such invalidity or unenforceability shall not in any way affect the validity or enforceability of the remaining provisions.

NOTICE TO YOU

GLOBAL-MPG may deliver notice to you under this Agreement by means of electronic mail, a general notice on the Site, or by written communication delivered by first-class U.S. mail to your address on record with GLOBAL-MPG

This Privacy Policy applies to Global-Mpg Texas (“Global-Mpg”, "we", "us") and explains how Global-Mpg handles, manages and protects personal information that it collects from users and visitors to this website ("Site") and from other individuals in the course of its business operations in Texas. Global-Mpg is committed to protecting your privacy. Except as otherwise required by law, this Privacy Policy does not apply to the practices of companies that Global-Mpg does not own or control, or to other websites operated by Global-Mpg affiliates around the world. If we collect or otherwise deal with your personal information, we will comply with the Privacy Act 1988 (Cth) including the Texas Privacy Principles (“APPs”). By providing your personal information to us you consent to the collection, use, transfer and disclosure of your information under the terms of this Privacy Policy. This Privacy Policy is to be read in conjunction with the Terms of Use. We reserve the right to update this Privacy Policy from time to time and post any updates on this page. COLLECTION OF PERSONAL INFORMATION

We only collect information about individuals that is necessary for us to carry on our business functions. We will collect personally identifiable information from you when you knowingly provide it to us, including:

Importantly, in some circumstances if you do not provide the information that we request, you may not be able to engage with us. For example, if you refuse to provide some personal information as may be requested during an online purchase transaction, you may not be able to complete your purchase.

Global-Mpg reserves the right to use or disclose any information as required or authorized by any law, regulation or legal request, to protect the integrity of the Site, or to cooperate in any law enforcement investigation or an investigation on a matter of health and safety. We may share your personal information with our store operators, service providers (for example, mailing houses and IT services providers), contractors, related entities and agents. We may also disclose your personal information to selected business partners so that they can contact you with information about products/services that may be of interest to you, where you have consented to this.

Some of the service providers that we use to process personal information on our behalf may be located outside of Texas. We are likely to disclose your personal information overseas to the United States of America and Ireland, in order to facilitate our business operations.  Unless otherwise advised and to the best of our knowledge, the service providers who we disclose personal information to in this manner are subject to a contract, law or binding scheme that has the effect of protecting the personal information in a way that is at least substantially similar (or better) to the protection offered by the Texas Privacy Principles.

NON-PERSONAL INFORMATION

In addition to personal information, Global-Mpg may also gather non-personal information, which may be used by Global-Mpg. Generally, “non-personal information” means information that is collected through “traffic data” and may entail the use of “cookies”, “IP addresses”, “pixel tags” or other numeric codes used to identify a computer or monitor how or when a user accesses the Site.

ABOUT IP ADDRESSES

Global-Mpg collects IP addresses for the purposes of system administration and to report aggregate information to our advertisers. An IP address is a number that’s automatically assigned to your computer whenever you’re surfing the Web. Web servers automatically identify your computer by its IP address. When guests request pages from the Site, our servers log the guests’ IP addresses. We do not link IP addresses to anything personally identifiable. This means that a user’s session will be logged, but the user remains anonymous to us.

USE OF COOKIES AND THIRD PARTIES

Cookies are pieces of information that a website transfers to an individual’s hard drive for record keeping purposes. Cookies make web-surfing easier for you by saving your passwords, purchases, and preferences while you’re at our Site. The use of cookies is an Industry standard — you’ll find them at most major web sites. Global-Mpg does not use cookies to retrieve information from your computer that was not originally sent in a cookie. Except as described below, Global-Mpg does not use information transferred through cookies for any promotional or marketing purposes, nor is that information shared with any third parties . Global-Mpg does not use cookies to identify specific individuals, except in such cases as online shopping and contest registration. You may occasionally get cookies from our advertisers and/or partners. Global-Mpg does not control these cookies, and a different cookie policy may apply to them. The use of advertising cookies sent by third-party servers is standard in the Internet industry. Most browsers are initially set to accept cookies. If you’d prefer, you can set yours to refuse cookies or to alert you when cookies are being sent. However, it is possible that some parts of the Site will not function properly if you do so.

Certain visitors to our Site may have previously received targeted promotional materials. Global-Mpg may use Site usage information about such visitors  for the purpose of tracking whether (and when) the recipient opens a message, for targeting future campaigns and upgrading visitor information used in reporting statistics. We do not use this information to identify specific individuals, but rather to gather general statistics regarding the use of our Site and emails that we send.

COMMUNICATION FROM SITE

You may occasionally receive information on products, services, special deals, and a newsletter. If you have submitted information to the “Career” portion of the Site, we may also contact you with regard to potential jobs. Out of respect for your privacy we present the option to not receive these types of communications. SECURITY AND ACCESS FOR YOUR PERSONAL INFORMATION

We will take all reasonable steps to:

(a)   make sure that the personal information we collect, use or disclose is accurate, complete and up to date;

(b)   protect personal information from misuse, interference, loss or unauthorized access, modification or disclosure both physically and through computer security methods; and to

(c)   destroy or permanently de-identify personal information if it is no longer needed for any purpose.

You may access the personal information we hold about you, upon making a written request to us using the contact details below.  We will respond to your request within a reasonable period.  If the personal information we hold about you is inaccurate, incomplete or out-of-date, please tell us and we will take reasonable steps to correct this information. If we refuse to correct your personal information, we will give you a written notice that sets out our reasons for our refusal (unless it would be unreasonable to provide those reasons), including details of the mechanisms available to you to make a complaint.  We may charge for providing access to this information. . We will let you know if any charges would apply to provide you with access when we receive your request. We may decline a request for access to personal information in circumstances prescribed by the Privacy Act, and if we do, we will give you a written notice that sets out the reasons for the refusal (unless it would be unreasonable to provide those reasons).

 

COMPLAINTS

If you are concerned that there may have been a breach of your rights or any rights under the Privacy Act, the APPs or a privacy code that applies to us, please contact us at blw@globalmpg.com using the details below and we will take reasonable steps to investigate the complaint and respond to you. Global-Mpg takes such matters very seriously and shall respond to any such concerns with you directly in a prompt fashion.

If after this process you are not satisfied with our response, you can submit a complaint to the Office of the Information Commissioner. .

 

CHILDREN'S INFORMATION

 Global-Mpg understands the importance of protecting children’s privacy especially in an on line environment. Our Site is not intentionally designed for or directed at children under the age of 13 years. It is our policy never to knowingly collect or maintain information about anyone under the age of 13.

PRIVACY AND CHANGE OF CONTROL

In the event Global-Mpg goes through a business transition, such as a merger, being acquired by another company, or selling a portion of its assets, users’ personal information will, in most instances, be part of the assets transferred
